Grease and flour 2 or 3 (9 inch) layer cake pans.
In large bowl with mixer on low speed beat together cake mix and cocoa. Add remaining ingredients; beat just until blended. Beat at high speed (portable mixer) 2 minutes. Pour into pans. Bake in 350 degree oven for 30 minutes or until done.
Frosting: Beat butter in small bowl to soften. Add cocoa/confectioners' sugar alternately with milk. Beat until of spreading consistency. Add vanilla.
